LAGOS, Nigeria — Fidelity Bank Plc has received regulatory clearance for N227.05 billion raised from a private placement, pushing its capital base past the Central Bank of Nigeria’s (CBN) revised threshold for banks, according to a corporate filing on April 24, 2026.

Okay News reports that the CBN verified and approved the allotment of 12.97 billion ordinary shares at N17.50 per share, representing 87.7 percent of the 14.8 billion shares the bank initially offered in the placement.

The bank received 20 applications for a total of 16.78 billion shares before verification, equivalent to a 113.4 percent subscription rate. Of these, 14 applications covering 12.24 billion shares were fully verified and allotted in full, while one application for 1.61 billion shares was partially verified with 735.94 million shares allotted. Five applications totalling 2.93 billion shares failed verification.

Refunds for unsuccessful and unverified applications are scheduled for April 27, 2026, while successful allottees will receive their shares in Central Securities Clearing System (CSCS) accounts by April 30, 2026.

The fresh capital takes Fidelity Bank’s share capital and share premium account to about N532.55 billion, above the N500 billion minimum capital requirement set by the CBN. The bank had earlier raised N175.85 billion in 2024 and N273 billion in 2025 through public offers and rights issues.

Shares of Fidelity Bank closed 1.3 percent higher at N22.30 following the announcement, bringing its market capitalisation to N1.12 trillion and a year-to-date gain of 17.37 percent.
